A Type A reorganization is a sometimes called a “statutory merger or consolidation” where two corporations combine but one corporation retains its existence and absorbs the other (the target). A pure consolidation involves the creation of a new combined corporation out of one or more that may have sinergeis by the combination but apart they are ineffective in the marketplace.
